NODWIN Gaming, a leader in gaming, esports, and new-age youth entertainment, and a material subsidiary of Nazara Technologies Limited has announced the acquisition of Trinity Gaming in a deal valued at Rs 24 crore. This strategic acquisition reinforces NODWIN Gaming’s significant position in the global gaming and esports industry, further enhancing its influence in the Indian gaming ecosystem.
The transaction involves the purchase of 100 per cent share capital of Trinity Gaming through a combination of secondary sale and stock swap. The deal includes a cash consideration of Rs 4.8 crore and the remaining Rs 19.2 crore as a stock swap with NODWIN Gaming shares. As part of this arrangement, Trinity’s founders, Abhishek Aggarwal, and Shivam Rao, will become shareholders of NODWIN Gaming and continue to lead the business operations.
Founded in 2019, Trinity Gaming has emerged as a cornerstone in India’s gaming influencer ecosystem. It is the only gaming multi-channel network (MCN) for YouTube in the country and serves as a Creator Service Provider (CSP) for Meta. The company manages over 1,000 creators nationwide and has partnered with global brands such as Samsung, Realme, iQOO, and Krafton, establishing itself as a leader in digital marketing, content creation, and agency activations.
With this acquisition, Trinity Gaming will become a fully owned subsidiary of NODWIN Gaming but will retain its distinct identity. NODWIN plans to expand Trinity’s business portfolio into emerging markets, including Africa, Southeast Asia, Central Asia, and the Middle East, leveraging its existing business verticals and expertise. Additionally, NODWIN Gaming’s Unpaused Talent business will merge with Trinity, with its founders taking charge of the combined operations.
By adding Trinity Gaming’s expertise in content creation and influencer marketing, NODWIN Gaming strengthens its foothold in the gaming and esports sector while expanding its portfolio of intellectual properties that span esports, gaming, pop culture, music, and comedy. This acquisition further aligns with NODWIN’s vision of remaining at the forefront of the global gaming and esports arena.

Currently, the shares of Nazara Technologies Limited are trading at around Rs 999.90 each on the BSE and the market capitalization of this Small-Cap company stands at Rs 7,653 crore.
